1. Service overview
This statement of work (SOW) describes the catalog and scope of services provided by Alibaba Cloud Computing Ltd. (hereinafter referred to as Alibaba Cloud or Party B), the division of labor, and the responsibility matrix of both parties to restrict the service actions of both parties. SOW is an attachment to the XXX Cloud Consulting Service Project Contract. The implementation of this SOW shall comply with the terms and conditions stated in the XXX Cloud Consulting Service Project Contract. This SOW describes the professional solution design and consulting services provided by Alibaba Cloud for XXXX (hereinafter referred to as Party A) during the implementation of the cloud consulting project (hereinafter referred to as the Project).
2. Service scope
Party B provides the following services in the Project:
Party B analyzes the current business situation of Party A based on the business investigation and analysis results and generates an investigation report.
Party B provides relevant consulting services and solution design based on the services that Party A requires.
Party B does not provide solution design for developing application systems or reconstructing specific applications and databases.
Party B does not provide the following services in the Project:
Reconstruction of applications, design of applications, and design of database logic
Application systems that are not explicitly specified in the service scope
Data that is not explicitly specified in the service scope
Design and construction of the architecture and environment of cloud platforms
Implementation of the required architecture and components of communication
Installation or configuration and support for the installation and configuration of the architecture and components of electrical equipment, electronic communication equipment, and cabling
Installation or configuration of non-IT equipment and office devices, such as office desks and chairs, printing devices, air conditioners, uninterruptible power supply (UPS), and tapes
3. Prerequisites
The Project must be implemented at the office location of Party A.
Upon the start of the Project, Party A must provide the necessary office facilities, including office desks and chairs, restroom facilities, mains power supply and outlets, and network cables. The office environment provided by Party A must be free from pollution gases that are harmful to human health. Party A must take protective measures in the outdoor environment to deal with severe weather conditions and ensure the safety of Alibaba Cloud staff.
All work records and documents of the Project must be in Chinese based on the requirements of Party A. The electronic documents provided by Party B must be in the Microsoft Word, Microsoft PowerPoint, Microsoft Excel, or Microsoft Project format.
During the Project, Party A and Party B must communicate with each other in a manner agreed upon by both parties. Optional communication methods include the Internet, fax, email, and written communication.
If on-site services are required, Party B must sign an on-site report with Party A after both parties fully negotiate and confirm the service start time and end time.
4. Services
Based on the implementation of cloud consulting service plans, best practices are quickly introduced to help enterprises build methods and paths for cloud digital implementation throughout the lifecycles. The design service includes business blueprint design, intelligent application scenario design, and operations strategy design.
Objectives of the Project:
1. The Project aims to globally and systematically describe the top-level design and business blueprint of digital transformation for enterprises, refine the strategic vision and goal planning for digital transformation, and clarify the digital transformation path and digital capability building.
Service 1: digital transformation consulting (top-level design)
Party B learns about the digital transformation goals of enterprises or public service sectors based on an investigation into different business fields, designs and plans the overall blueprint of digital transformation, develops the digital construction plan, and generates the top-level design solution of the digital transformation blueprint as deliverables. Based on the cloud consulting service plan of Standard Edition for a single business field, the service can be delivered within two and a half months. Based on the cloud consulting service plan of Advanced Edition for up to three business fields, the service can be delivered within four months.
Service 2: planning of business and digital services
Party B provides public service sectors and enterprises with blueprint planning for basic digital business based on the digital transformation strategies. Party B also provides comprehensive consulting services for advanced digital service system design based on business blueprint planning for different industries and business fields, and provides guidance on digital service planning and design. The service includes consulting on smart city and government affair design, consulting on digital transformation of marketing and supply chain business, and consulting on business mid-end. Based on the cloud consulting service plan of Business Blueprint Edition for a single business field, the service can be delivered within two months. Based on the cloud consulting service plan of Service Design Edition for a single business field, the service can be delivered within three months.
Service 3: consulting for data platforms and data applications
Party B provides solution design for different business fields to help customers plan their data architecture with no more than 50 data tables or data application architecture with 50 data tables or tags, and plan the data application construction path. Scenarios such as big data platform design, data application design, and data intelligence are supported. Based on the cloud consulting service plan of Standard Edition for a single business field, the service can be delivered within two and a half months. Based on the cloud consulting service plan of Advanced Edition for up to three business fields, the service can be delivered within four months.
Service 4: digital capability building
Party B provides and designs a digital training system, and organizes and implements digital leadership training and digital transformation capability training. Two sessions of systematic training are included. Party B prepares materials, plans the training system, and assigns lecturers. Based on the cloud consulting service plan of Standard Edition, the training system can be delivered within one and a half months.
Cloud consulting service supplement plan
If the cloud consulting service plans of Standard Edition and Advanced Edition cannot cover the corresponding service cycles or complex business scenarios, the cloud consulting service supplement plans must be introduced to provide incremental services. For data consulting, each cloud consulting service supplement plan covers 15 data tables, metrics, or tags. To cover fewer than 15 data tables, metrics, or tags, a supplement plan is required.
2. The Project aims to analyze different operations capabilities, develop operations strategies, improve business processes, and provide business support based on the competitive strategies of enterprises.
Service 1: consumer asset operations
Party B integrates global consumer assets, provides enterprises with consumer insights and consumer operations strategies, and plans operations analysis and suggestions in the consumer lifecycle to help enterprises implement all-in-one consumer operations from all channels. The design of a single type of operations strategy, such as consumer lifecycle or loyalty system design, is included. Based on the cloud consulting service plan of Standard Edition for the design of a single type of operations strategy, the service can be delivered within two and a half months.
Service 2: business operations consulting
Party B analyzes different digital operations capabilities of enterprises, develops operations strategies, provides business process improvement solutions, and generates an operations strategy solution. Solution implementation and support are optional. This service includes the design of a single type of digital operations capability for platforms and the solution support service, such as operations strategy for attracting new users in private traffic marketing, operations of high potential consumers, or operations of consumer and commodity matching. Based on the cloud consulting service plan of Standard Edition for the design of a single type of operations strategy, such as member recruitment strategy or membership re-purchase strategy, the service can be delivered within two months. Based on the cloud consulting service plan of Advanced Edition for the design of a single type of operations strategy and the solution implementation and support service, the service can be delivered within four months.
Service 3: operations during festivals and promotional activities
Based on digital operations capabilities, Party B provides guidance and consulting on operations strategies during festivals and promotional activities. A service plan covers only the initial price of a single activity. Multiple service plans are required if operations scenarios of different scales, multiple operations scenarios, or multiple promotional activities are involved. For example, in a daily operations scenario such as money-off activity, a single cloud consulting service plan of Standard Edition is required. In a large-scale promotional activity or complex operations scenario, such as Double 11, multiple cloud consulting service plans of Standard Edition are required. Based on the cloud consulting service plan of Standard Edition for daily operations scenarios, the service can be delivered within one and a half months.
Cloud consulting service supplement plan
If the cloud consulting service plans of Standard Edition and Advanced Edition cannot cover the corresponding service cycles or complex business scenarios, the cloud consulting service supplement plans must be introduced to provide incremental services. For operations during festivals and promotional activities, each cloud consulting service supplement plan covers the investigation, sharing, or design of a scenario in a specific activity.
5. Service process
The Project involves the following operations in the service process: holding a project kickoff meeting, submitting a project plan, investigating the current business situation, implementing consulting services, and accepting the consulting services.

6. Project milestones
The Project contains four milestones that are described in the following table.
The start time of the Project shall be subject to the time when the XXX Cloud Consulting Service Project Contract is signed by both parties.

7. Responsibilities of Party A
Party A must assign a project leader to assist Alibaba Cloud in implementing the consulting services. The project leader shall be responsible for the coordination and management of both parties and the review and acceptance of Alibaba Cloud services. If Alibaba Cloud needs to investigate business systems, the project leader must coordinate the participation of relevant staff members.
Party A must assign relevant business staff to participate in the business investigation, meetings, and review of the Project during the project implementation process, and provide the project team with information about the business situation and expected objectives in line with the business.
Party A must assign relevant technical support staff who are responsible for demand, design, development, O&M, and control as planned during the project implementation process, and provide the project team with accurate and appropriate information about the technical situation and expected objectives.
Party A must assign relevant supervisors or decision makers to participate in major meetings and milestones as planned during the project implementation process, obtain up-to-date information about the progress of the Project, and help resolve various issues at the earliest opportunity.
Party A must coordinate the participation of various resources as planned during the project implementation process, and provide the project team with accurate and appropriate information about the current situation and expected objectives.
8. Acceptance criteria
The acceptance of the Project begins after the following acceptance criteria are met:

After the preceding project reports are submitted, Party A must confirm the solutions within five business days. If both parties agree on the solutions, both parties must sign an acceptance report.
After the acceptance report is signed by both parties, the project acceptance is complete.
9. Mark of completion
If the Project is accepted and the acceptance report is signed by both parties, the consulting services are complete.
